LibertyStream Appoints Lisa Paulk Bohls to Board as Company Advances Lithium Development Strategy

LibertyStream Infrastructure Partners Inc. (TSXV: LIB | OTCQB: VLTLF | FSE: I2D), a lithium development and technology company focused on producing lithium carbonate from oilfield brine, has announced the appointment of Lisa Paulk Bohls, CPA, to its Board of Directors. The appointment became effective on August 7, 2026, and is expected to strengthen the company’s financial reporting, corporate governance and organizational capabilities as LibertyStream advances its operations and prepares for its next phase of growth.

The addition of Bohls brings more than 26 years of experience in accounting, public-company reporting, internal controls, governance and strategic business development. Her background includes extensive work with publicly traded companies and organizations navigating complex financial, regulatory and operational requirements.

LibertyStream said the appointment will enhance the Board’s expertise as the company continues developing its Texas operations and builds the corporate infrastructure needed to support its long-term strategy.

Experienced Finance and Governance Executive Joins Board

Bohls is a Texas Certified Public Accountant based in Houston and has built a career spanning public accounting, financial reporting, governance, strategic planning and organizational growth.

She currently serves as Co-Founder and Chief Strategy Officer of BGL Advisors, where she contributes her experience in strategic business development and financial leadership. Before establishing BGL Advisors, Bohls spent nearly 15 years with The Siegfried Group, a professional services organization where she progressed to the positions of Senior Vice President and National Managing Director.

Her professional background also includes experience with major accounting firms Ernst & Young and Arthur Andersen. During her time with these organizations, she worked with public companies on financial statement audits, Securities and Exchange Commission reporting and internal-control matters associated with Section 404 of the Sarbanes-Oxley Act.

That combination of financial reporting, auditing and internal-control experience is particularly relevant to LibertyStream as the company works to expand its operations and establish the infrastructure necessary for future growth.

Bohls has also held board and fiduciary leadership positions with the Texas Society of Certified Public Accountants, giving her additional experience in professional governance and organizational oversight.

Strengthening Corporate Infrastructure

LibertyStream’s decision to add Bohls to its Board comes as the company continues advancing its lithium development strategy in Texas.

As companies move from development-stage operations toward commercialization, financial reporting, governance systems and organizational structures become increasingly important. LibertyStream said Bohls’ experience will help strengthen these areas as the company expands its activities.

Her background in public-company reporting can provide additional expertise as LibertyStream manages regulatory obligations and communicates financial and operational developments to investors. Her experience with internal controls and governance may also support the company’s efforts to build systems capable of accommodating future growth.

The appointment therefore represents more than an expansion of the Board’s financial expertise. It forms part of LibertyStream’s broader effort to prepare its corporate organization for the next stage of development.

Board Changes Announced

Alongside Bohls’ appointment, LibertyStream announced the retirement of Warner Uhl and Kyle Hookey from the Board of Directors, effective August 7, 2026.

The company expressed its appreciation to both directors for their leadership, advice and years of service. According to LibertyStream, Uhl and Hookey contributed to the company through several significant stages of its development.

Board transitions are an important component of a company’s long-term governance strategy, particularly for businesses operating in emerging industries such as lithium production and extraction technology. LibertyStream’s latest changes combine the departure of two experienced directors with the addition of a finance and governance executive whose background aligns with the company’s evolving corporate requirements.

The company said the transition will help ensure that its Board continues to provide appropriate oversight and expertise as LibertyStream advances its business objectives.

500,000 Restricted Share Units Granted

In connection with Bohls’ appointment, LibertyStream’s Board approved the grant of 500,000 restricted share units (RSUs) to the newly appointed director.

The RSUs are scheduled to vest 12 months after the grant date, on August 7, 2027. The awards are subject to the terms and conditions of LibertyStream’s Amended and Restated Omnibus Security Based Incentive Plan, applicable grant agreements and the requirements of the TSX Venture Exchange.

Equity-based compensation is commonly used by growth-oriented companies to align directors and executives with long-term shareholder interests. By granting RSUs, LibertyStream is providing an incentive tied to the company’s equity value while also establishing a long-term relationship between the director and the company.

The RSUs remain subject to the conditions outlined in the company’s incentive plan and relevant regulatory requirements.

Focus on Lithium From Oilfield Brine

LibertyStream is pursuing a business strategy centered on the development of lithium production technologies and projects. The company aims to become one of North America’s first commercial producers of lithium carbonate from oilfield brine.

Lithium is a critical raw material for a wide range of clean-energy technologies, particularly rechargeable batteries used in electric vehicles, energy-storage systems and other applications. As global demand for energy storage and electrification technologies grows, companies are exploring new methods of producing lithium while improving efficiency and reducing development costs.

LibertyStream’s strategy focuses on using its management team’s experience in the oil and gas industry to leverage existing energy infrastructure for lithium production.

The company plans to deploy its proprietary Direct Lithium Extraction (DLE) technology directly into existing oil and gas infrastructure. By integrating lithium extraction capabilities with established infrastructure, LibertyStream believes it can reduce capital requirements and potentially lower some of the risks associated with developing new lithium production facilities.

Leveraging Existing Infrastructure

A key component of LibertyStream’s strategy is the connection between the oil and gas industry and lithium development.

Oilfield brine can contain lithium, and the company is seeking to use its DLE technology to selectively extract lithium from these brines. The approach could potentially provide an additional resource opportunity within existing oil-producing regions while reducing the need to construct entirely new infrastructure.

LibertyStream’s management believes its experience in the hydrocarbon sector provides an advantage in developing projects that combine oilfield infrastructure with lithium extraction technology.

The company’s approach is also intended to support the broader transition toward cleaner energy technologies. Lithium carbonate is an important material in the battery supply chain, and increasing domestic and North American production could contribute to efforts to develop more resilient regional supply chains.

Preparing for the Next Stage of Growth

The appointment of Lisa Paulk Bohls comes at an important point in LibertyStream’s development. As the company progresses its Texas operations and works toward its goal of commercial lithium carbonate production, financial expertise, governance and organizational scalability will become increasingly important.

Bohls’ experience with public-company audits, SEC reporting, internal controls, strategic growth and professional governance provides LibertyStream with additional expertise as it develops its corporate infrastructure.

The company’s broader objective remains focused on creating long-term shareholder value by combining its proprietary DLE technology with existing oil and gas infrastructure. LibertyStream believes this approach can help reduce capital costs, mitigate development risks and contribute to the growing demand for lithium needed to support the global clean-energy transition.

With the Board transition now in place, LibertyStream is continuing to focus on advancing its Texas operations, strengthening its corporate platform and progressing toward commercial lithium production.
