Karman Space & Defense Expands into Strategic Maritime Defense with Acquisition of Seemann Composites and Material Sciences

Karman strengthens its position in next-generation propulsion and shielding systems, supporting the nation’s highest-priority defense programs from deep sea to deep space.

Karman Space & Defense a leader in rapid design, development, and production of advanced defense systems, announced today the acquisition of Seemann Composites, LLC (Seemann) and Material Sciences LLC (MSC), both innovators in specialty maritime defense technologies. The combined transaction is valued at $220 million, including $210 million in cash and approximately $10 million in Karman common shares, and is subject to customary closing conditions and regulatory approvals.

Seemann and MSC bring nearly 95 years of combined experience in designing, testing, and manufacturing advanced materials and systems for the U.S. Navy. Their core capabilities include:

  • Sonar, acoustic, and signal mitigation solutions
  • Subsea and surface propulsion systems
  • Missile and amphibious strategic launch products

These companies’ expertise aligns seamlessly with Karman’s vertically integrated platform, strengthening its advanced materials portfolio and concept-to-production capabilities.

Strategic Expansion into Maritime Defense


Entering the strategic maritime defense market has been a key goal for Karman,” said Tony Koblinski, CEO of Karman. “Seemann and MSC bring proven performance, deep materials expertise, and differentiated manufacturing capabilities. Together, we are well-positioned for decades of growth while delivering critical technologies to the U.S. Navy and other defense customers.”

Seemann and MSC operate from Gulfport, Mississippi, and Horsham, Pennsylvania, with a combined manufacturing footprint of approximately 240,000 square feet. Their facilities feature advanced production capabilities, including resin infusion, automated fiber placement (AFP), fabric weaving, fatigue testing, and 3D printing. These capabilities will enhance Karman’s ability to rapidly deliver innovative solutions for naval and hypersonic programs.

Complementary Capabilities and Long-Term Growth


The acquisitions complement Karman’s prior strategic investments, including MG Resin and MTI, by deepening the company’s IP-protected advanced materials portfolio and adding talented material science teams focused on next-generation materials and resin system design.

Seemann and MSC also expand Karman’s exposure to high-priority naval programs, including submarines, unmanned surface and underwater vehicles (USV/UUV), and tactical surface vessels. The acquisitions are expected to be immediately accretive in 2026 across revenue growth, funded backlog, EBITDA, earnings per share, and cash flow.

Outlook
Karman affirms its prior fiscal year 2025 revenue and adjusted EBITDA guidance and expects the transaction to enhance its position in multi-decade, high-priority U.S. Navy programs, maintaining top-tier adjusted EBITDA margins among defense technology companies.
