Airbus SE (stock exchange symbol: AIR) shareholders have greenlit all resolutions during the Company’s 2024 Annual General Meeting (AGM), which took place on April 10th in Amsterdam. Among the resolutions passed were the renewal of the three-year Board mandates of Chairman René Obermann, along with those of fellow non-executive directors Victor Chu, Jean-Pierre Clamadieu, and Amparo Moraleda. Mr. Obermann was formally reinstated as Chairman of the Board during a subsequent Board meeting following the AGM.
Additionally, Dr. Feiyu Xu was appointed as a non-executive director following shareholder approval. She assumes the position previously held by Ralph D. Crosby, Jr., who resigned effective immediately after the AGM, having served on the Board since 2013. Dr. Xu’s appointment is for a two-year term, corresponding to the remainder of Mr. Crosby’s mandate.
Dr. Xu brings extensive expertise as a member of the Supervisory Board of technology company ZF Friedrichshafen AG and is recognized as a leading authority in the application of artificial intelligence in industry. Her appointment elevates the proportion of female directors from 33% to 42%, aligning with Airbus’ commitment to fostering greater diversity on both the Board and Executive Committee, encompassing gender and background diversity.
Airbus renews Board mandates at each AGM in blocks of four for three years to facilitate a seamless transition in the Board’s composition and ensure the retention of appropriate skills among its directors.
Furthermore, the proposed payments of a 2023 gross dividend of €1.80 per share (unchanged from 2022) and a special dividend of €1.00 per share were endorsed.
